Terms of use
Read this before you go on. It is short, and it is the whole deal: the information is confidential and stays inside your firm.
1. Who this is for
This dataroom is made available by Makat to named individuals at investment firms and their advisers, solely to evaluate a possible investment in Makat. Your access is personal and may not be transferred or shared.
By signing in, or by clicking Accept, you agree to these terms on your own behalf and on behalf of the firm you represent.
2. Everything here is confidential
All content in the dataroom is confidential information of Makat: documents, figures, customer and supplier names, plans, and anything else you see here.
You may use it only to evaluate the investment. You may share it inside your firm with colleagues who need it for that evaluation and who are bound by these terms or by obligations at least as strict. You may not share it with anyone else, including other investors, portfolio companies, advisers not engaged for this evaluation, or the press, and you may not make public statements about it.
This obligation lasts for three years from your last access, or until the information becomes public through no fault of yours, whichever comes first.
3. No copies
Do not download, print, screenshot, photograph, record, scrape or otherwise reproduce the dataroom or its contents, other than brief notes for your own internal evaluation. If we ask, or when your evaluation ends, delete any notes and confirm that you have.
4. What we record
Every sign-in and every page you open is logged: your email address, the time, your IP address, your device and browser, which documents you read and for how long. Your session may be recorded, including on-screen activity, and connection logs are kept. Makat is notified when you visit.
We use cookies to keep you signed in and to make these measurements. Without them the dataroom does not work.
We use these records to run the dataroom, to run our fundraising process, and to enforce these terms. We keep them for the duration of the fundraise and three years after. We do not sell them.
5. Nothing here is an offer
The dataroom is for information only. It is not an offer to sell, or a solicitation of an offer to buy, securities of Makat or of anyone else. Any investment will be made only under definitive agreements.
It contains forward-looking statements, plans, estimates and targets, which may not be achieved. Figures are unaudited unless stated otherwise. Makat gives no warranty as to the accuracy or completeness of anything here and has no duty to update it. Nothing here is investment, legal, tax or accounting advice. Rely on your own due diligence.
6. Ownership
Everything in the dataroom remains the property of Makat or its licensors. Access gives you no rights in it beyond what these terms allow.
7. Access can end
Makat may suspend or revoke your access at any time, without notice or reason. When it ends, stop using the information and delete any notes, as in section 3. Sections 2 to 9 continue to apply after your access ends.
8. Liability
To the extent the law allows, Makat is not liable for any loss arising from your use of, or reliance on, the dataroom. You are responsible for any breach of these terms by you, or by anyone you shared information with.
9. Law and contact
These terms are governed by the laws of the State of Israel, and the courts of Tel Aviv have exclusive jurisdiction. Questions about these terms or about your data: yoav@makat.ai.
